Annual Driving
& Track-Day Waiver.

The master driving waiver. Executed once per calendar year by every Member, family member, and other participant who will engage in any driving activity at Society programming — including monthly members-only track days, manufacturer days (Porsche, BMW), instructional sessions, and Member Driving Days at Road Atlanta and partner circuits. Notarized signature required.

Release & Waiver of Liability, Assumption of Risk & Indemnity Agreement

This Annual Driving & Track-Day Waiver (the "Waiver") is given by the undersigned individual (the "Participant") in consideration of being permitted to enter, occupy, or pass through any Restricted Area at any Society event during the calendar year identified below, and in consideration of being permitted to participate in any Society activity, including but not limited to driving on a Member Driving Day, the TPS Cup, manufacturer experiences, track days, instructional sessions, and any related programming. This Waiver covers track-day driving in full; no separate per-track-day Society waiver is required, although facility-specific waivers required by individual circuits at the gate remain in addition to this Waiver (see §10 below).

1. Definitions.

"Society" means The Paddock Society and its parent, subsidiary, and affiliated entities. "Restricted Area" means the racing/practice areas, pit areas, paddock, infield, approach areas, shutdown or rest areas, all walkways, hospitality areas, garage areas, and any area within or appurtenant to any racing circuit, training facility, or event venue at which Society programming occurs, whether open or closed to the public, day or night. "Released Parties" means and includes the Society; The Driving Club at Road Atlanta; FARA USA and any other sanctioning body associated with a Society event; the owner and operator of each circuit at which a Society event occurs (including but not limited to Michelin Raceway Road Atlanta, MCM Motorsports Park, Homestead-Miami Speedway, Virginia International Raceway, and any partner facility, domestic or international); each of their respective officers, directors, managers, members, employees, agents, contractors, instructors, marshals, medical personnel, sponsors, partners, insurers, and successors; the manufacturer of any vehicle, vehicle component, or protective equipment used by any participant; and the heirs, assigns, and estates of each of the foregoing.

2. Inspection of Restricted Area.

The Participant acknowledges, agrees, and represents that the Participant has, or will immediately upon entering, and will continuously and indefinitely thereafter, inspect any Restricted Area and all portions thereof that the Participant enters and with which the Participant comes in contact. The Participant warrants and agrees that the Participant's entry into or upon any Restricted Area, or the Participant's participation in any of the activities described in this Waiver, constitutes the Participant's acknowledgment that the Participant has inspected such Restricted Area and finds and accepts same as being safe and reasonably suited for the purposes of the Participant's use. The Participant agrees that if at any time the Participant is in or near any Restricted Area and feels anything to be unsafe for any reason, the Participant will immediately advise any official, staff member, personnel, or agent of the Society or the relevant facility of such unsafe condition or situation, and will immediately leave such Restricted Area and refuse to participate in any way in any activity, including driving, instructing, observing, working, or otherwise.

3. Release, Waiver & Covenant Not to Sue.

The Participant, on behalf of the Participant and the Participant's personal representatives, heirs, assigns, family, next of kin, executors, administrators, and estate (collectively the "Participant Parties"), HEREBY RELEASES, WAIVES, DISCHARGES, AND COVENANTS NOT TO SUE the Released Parties from and for any and all liability, claims, demands, actions, and causes of action whatsoever, in law or in equity, now and for all time, for any and all losses, damages, injuries, illnesses, or death sustained by the Participant or the Participant Parties, or to any property of the Participant or the Participant Parties, while the Participant is in, upon, or near any Restricted Area for any reason, or while engaging in or being near any activity related to any Society programming, whether such loss, damage, injury, illness, or death is caused by the negligence of any Released Party or any other act of, or failure to act by, any Released Party, or by any other cause whatsoever.

4. Indemnification.

The Participant HEREBY AGREES TO INDEMNIFY, DEFEND, AND HOLD HARMLESS the Released Parties and each of them from any loss, liability, damage, or cost of any kind (including reasonable attorneys' fees) that they may incur due to the presence of the Participant in, upon, or near any Restricted Area; or any loss, liability, damage, or cost of any kind incurred while the Participant is driving, instructing, competing, participating in any way, officiating, observing, or being engaged in any activity in any manner for any reason in, upon, or near any Restricted Area, whether or not any loss, damage, cost, or otherwise is caused by the negligence of the Released Parties or by any other cause.

5. Assumption of Risk.

The Participant HEREBY ASSUMES FULL RESPONSIBILITY FOR, AND ALL RISK OF, ANY BODILY INJURY, ILLNESS, DEATH, AND/OR PROPERTY DAMAGES, caused by any person or entity, including the negligence of the Released Parties, that the Participant may suffer due to the Participant's presence in, upon, or near any Restricted Area, or by engaging in, or being near, any activity related to any operations of the Society, including but not limited to: high-performance driving; track-day operations; practice driving; competition driving in the TPS Cup; instructional sessions; passing or overtaking maneuvers; mechanical failures of any vehicle, brake, tire, or component; tire failure, debris, or fluid on the track surface; weather, lighting, or visibility conditions; the conduct, error, or negligence of other participants; failure of safety equipment; rescue or medical response operations; and any other risk inherent in motorsport activities.

6. Acknowledgment of Extreme Danger.

The Participant HEREBY ACKNOWLEDGES AND AGREES THAT ALL ACTIVITIES AT SOCIETY EVENTS (including all driving, racing, practicing, instruction, and related activities, and all activities within any Restricted Area) ARE EXTREMELY DANGEROUS and involve the risk of property damage, serious bodily injury, paralysis, and death. The Participant HEREBY ASSUMES ALL RISKS INHERENT IN SUCH ACTIVITIES no matter how any damage, injury, illness, or death may be caused, or regardless of the severity of any damage, injury, illness, or death.

7. Health Representation.

The Participant HEREBY REPRESENTS AND WARRANTS that the Participant is in good physical and mental health and has no known physical, medical, or emotional condition that would prevent the Participant from participating safely in any activity at a Society event, including but not limited to high-performance driving, track-day operations, racing competition, or observing the same. The Participant further represents and warrants that the Participant has personal health insurance to cover any accident, injury, or illness of any kind, no matter the extent of damage or injury that may occur while engaged in any activity at a Society event.

8. Vehicle & Equipment.

The Participant represents that any vehicle the Participant operates at a Society event has been mechanically prepared in compliance with the safety, scrutineering, and equipment requirements established by the Society, the Operations Partner, FARA USA (where applicable), and the relevant facility, and that the Participant maintains current motor vehicle insurance and, where applicable, motorsport-specific track-day or competition insurance covering the vehicle and driver while on circuit.

9. Insurance Representation.

The Participant acknowledges that the Society's operations and event-day insurance umbrella, provided through the Operations Partner, is secondary and limited in scope and shall not be construed as primary coverage for the Participant's vehicle, person, or guests. The Participant's primary motor vehicle, personal medical/health, and motorsport-specific insurance policies are the Participant's responsibility.

10. Two-Waiver Acknowledgment.

The Participant acknowledges that this Annual Waiver is the Society's waiver and does not displace or substitute for any waiver required by a specific facility or sanctioning body at any individual event. The Participant agrees to execute any additional waivers required by Michelin Raceway Road Atlanta, MCM Motorsports Park, Homestead-Miami Speedway, Virginia International Raceway, or any other facility, sanctioning body, or partner at the time of each event, and acknowledges that the Society's Annual Waiver does not relieve the Participant of those additional execution obligations.

11. Family & Minor Participants.

The Participant agrees that any spouse or unmarried family member under the age of twenty-five (25) admitted under the Participant's Society Membership and participating in any Society driving activity must execute a separate Annual Waiver in their own name. Minors under the age of eighteen (18) must additionally execute the Society's Minor Participant Waiver, which requires the signatures of both legal parents or guardians, witnessed or notarized in accordance with the laws of the State of Georgia. No minor will be permitted to participate in any Society driving activity without the executed Minor Participant Waiver.

12. Severability and Scope.

This Waiver is intended to be as broad and inclusive as permitted by the law of the State of Georgia. The Participant agrees that this Waiver extends to all acts of negligence by the Released Parties, including negligent rescue operations by any party, and that if any portion of this Waiver is found to be invalid, it is agreed that the remainder shall continue in full force and effect.

13. Governing Law.

This Waiver is governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict-of-laws principles. Any dispute arising under or in connection with this Waiver shall be subject to the dispute-resolution provisions of the Founding Member Agreement (or, if the Participant is not a Member, to mediation followed by binding arbitration in Atlanta, Georgia).

14. Acknowledgment.

The Participant acknowledges that the Participant has had adequate time to read this Annual Waiver, has done so, and fully understands all of its terms, including that the Participant has given up substantial rights by signing it, and gives up those rights freely and voluntarily, without any inducement of any kind, assurance, or guarantee being made to the Participant, and intends the Participant's signature below to constitute a complete and unconditional release of all liability to the greatest extent allowable by the law of the State of Georgia.
